DELTA PRIME AI PROVIDES FINANCIAL PLANNING PROJECTIONS AND EDUCATIONAL TOOLS. IT IS NOT A REGISTERED INVESTMENT ADVISER AND DOES NOT PROVIDE PERSONALIZED INVESTMENT ADVICE.

Projections are estimates generated from the information you enter and mathematical modeling assumptions. They are not guarantees of future financial performance and do not account for all variables affecting your financial future.

Before making significant financial decisions — including retirement timing, large asset purchases, investment allocations, or insurance coverage — consult a licensed financial professional such as a Certified Financial Planner (CFP®), Registered Investment Adviser (RIA), or Certified Public Accountant (CPA).

1. Acceptance of Terms

By creating a Delta Prime AI account or using the service at deltaprime.ai, you agree to these Terms of Service (“Terms”) and to our Privacy Policy. If you do not agree to these Terms, do not create an account or use the service.

These Terms are a binding agreement between you and Frymark Technologies, Inc., a Delaware corporation (“Delta Prime AI,” “we,” “us,” or “our”). If you use Delta Prime AI on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

Delta Prime AI is a conversational financial planning tool. You describe your financial situation in natural language; the service runs multi-decade projections, surfaces planning analysis across multiple financial domains (retirement, taxes, Social Security, healthcare, insurance, investment allocation, estate basics, and others), and maintains a persistent financial plan that continues across sessions.

The service uses artificial intelligence to generate responses. Delta Prime AI does not link to or access any bank, brokerage, or financial account — every figure in the service is one you enter yourself.

3. What Delta Prime AI Is — and Is Not

Delta Prime AI is:

  • A financial planning and projection tool
  • An educational resource providing analysis across major personal finance domains
  • A modeling tool that generates scenario-based projections based on your inputs

Delta Prime AI is not:

  • A registered investment adviser under the Investment Advisers Act of 1940
  • A licensed financial planner, broker-dealer, or insurance producer
  • A tax return preparer or tax filing service
  • A substitute for personalized advice from a licensed professional

Specific limitations:

  • Delta Prime AI does not recommend specific securities, mutual funds, ETFs, or asset allocations
  • Delta Prime AI does not recommend specific insurance products or carriers
  • Delta Prime AI does not prepare, file, or review tax returns
  • Delta Prime AI does not manage or execute any financial transactions
  • Delta Prime AI does not have access to your actual account balances, transactions, or holdings

Projection accuracy depends on your inputs. Delta Prime AI performs no independent verification of any information you provide. Projections are only as accurate as the data you enter and the modeling assumptions the system applies. Past performance of modeled investments does not guarantee future results.

AI-generated content. The projections and analysis Delta Prime AI produces are generated by artificial intelligence and may be inaccurate, incomplete, or not applicable to your specific circumstances. Always verify material outputs with a qualified professional before acting on them.

4. Eligibility

You must be at least 18 years of age to use Delta Prime AI. By using the service, you represent and warrant that you meet this requirement.

The service is currently offered to users located in the United States. We make no representation that Delta Prime AI is appropriate or available for use outside the United States.

5. Account Terms

  • Accurate information. You agree to provide accurate, current information when creating your account and to keep it updated.
  • Account security. You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account.
  • One account per person. Accounts may not be shared with others. Each user must maintain their own account.
  • Notify us of unauthorized access. Contact support@deltaprime.ai immediately if you suspect your account has been compromised.
  • Account integrity. We reserve the right to suspend or terminate accounts that appear to be fraudulent, duplicative, or in violation of these Terms.

6. Subscriptions and Billing

Free tier

Delta Prime AI offers a free tier available to all registered users at no charge.

Pro subscription

Delta Prime AI Pro is a paid subscription that unlocks additional capabilities.

Billing:

  • Annual subscription: billed as a single upfront annual payment at the time of purchase; this is the default and recommended option
  • Monthly subscription: billed monthly on the anniversary of your subscription start date
  • Current prices are displayed at the point of purchase; prices may change with reasonable notice

Renewal: Subscriptions renew automatically unless cancelled before the renewal date. We will send a reminder email before annual renewals.

Cancellation: You may cancel your Pro subscription at any time through your account settings. Cancellation takes effect at the end of your current paid billing period. We do not issue refunds for partial subscription periods, except as required by applicable law.

Payment processing: All payments are processed by Stripe, Inc. Your payment card details are entered on Stripe’s secure checkout page and are never transmitted to or stored on our servers. See our Privacy Policy for details.

Free trial

If we offer a free trial, it will be described at the point of upgrade. At the end of the trial, your subscription will convert to a paid plan unless you cancel before the trial ends.

7. Acceptable Use

You agree to use Delta Prime AI only for lawful personal financial planning purposes. You agree not to:

  • Attempt to circumvent any security, access control, or authentication measures
  • Use the service to facilitate any illegal activity
  • Attempt to reverse engineer, decompile, or extract the underlying models, algorithms, or source code
  • Scrape, systematically download, or bulk-extract data from the service
  • Share, sell, or transfer your account credentials to others
  • Impersonate another person or entity
  • Use the service in any manner that could damage, disable, overburden, or impair it
  • Upload or transmit any malicious code, viruses, or harmful content

8. Intellectual Property

Our rights. The Delta Prime AI service — including its software, projection engine, knowledge base, user interface, and brand elements — is owned by Frymark Technologies, Inc. and protected by US and international intellectual property laws. “Delta Prime AI,” the Delta Prime AI logo, and related marks are trademarks of Frymark Technologies, Inc.

Your rights in your data. You own the financial information you enter into Delta Prime AI. We do not claim ownership of your personal financial data. See our Privacy Policy for details on how we handle it.

License to use the service. Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use Delta Prime AI for your personal financial planning purposes.

Feedback. If you submit suggestions, feedback, or ideas about Delta Prime AI, you grant us a perpetual, royalty-free license to use that feedback without obligation to you.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES
  • ANY PROJECTION, ANALYSIS, OR OUTPUT WILL BE ACCURATE, COMPLETE, OR APPLICABLE TO YOUR CIRCUMSTANCES
  • THE SERVICE WILL MEET YOUR SPECIFIC FINANCIAL PLANNING NEEDS

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES; IN THOSE JURISDICTIONS, THE ABOVE EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FRYMARK TECHNOLOGIES, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL
  • ANY FINANCIAL LOSS ARISING FROM RELIANCE ON PROJECTIONS OR ANALYSIS GENERATED BY THE SERVICE

CAP ON LIABILITY: OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF DELTA PRIME AI SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100) FOR FREE-TIER USERS.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES; IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Frymark Technologies, Inc. and its officers, directors, employees, and agents from any claims, liabilities, losses, damages, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of Delta Prime AI; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any financial decision you make based on outputs from the service.

12. Account Deletion and Your Data

You may delete your account at any time through your account settings or by contacting privacy@deltaprime.ai. Upon deletion, your personal financial data will be permanently deleted within 30 days in accordance with our Privacy Policy. Access to the service ends immediately upon deletion.

13. Termination

By you. You may stop using Delta Prime AI and delete your account at any time.

By us. We may suspend or terminate your account or access to the service at any time if: you violate these Terms; you engage in fraudulent or abusive activity; or we discontinue the service, with reasonable advance notice where possible.

Effect of termination. Upon termination, your license to use the service ends immediately. Provisions that by their nature should survive termination (including Sections 3, 8, 9, 10, 11, 15, and 16) will survive.

14. Changes to the Service and These Terms

Service changes. We may modify, add, or remove features from Delta Prime AI at any time. We will make reasonable efforts to give advance notice of material changes that affect paid features.

Terms changes. We may update these Terms from time to time. When we make material changes, we will notify you by email at your registered address and update the “Last Updated” date above. Your continued use of Delta Prime AI after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the service and delete your account.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.

Dispute resolution. Any dispute arising from or relating to these Terms or the Delta Prime AI service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent imminent harm or protect intellectual property. You waive any right to participate in a class action lawsuit or class-wide arbitration against Frymark Technologies, Inc. Arbitration hearings may be conducted by telephone or video conference. Any award may be entered as a judgment in any court of competent jurisdiction.

Note: arbitration clauses and class-action waivers are increasingly scrutinized and may require specific disclosure formats in some states. Confirm with counsel before use.

16. General

  • Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Frymark Technologies, Inc. regarding Delta Prime AI and supersede all prior agreements.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
  • Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right.
  • No agency. Nothing in these Terms creates an agency, partnership, or joint venture between you and Frymark Technologies, Inc.
  • Assignment. You may not assign these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
